Acceptance of Terms
By engaging Riza Tech for services, the client acknowledges and agrees to be bound by these Terms and Conditions, which supersede any prior agreements or understandings.
Scope of Services
Riza Tech operates as an intermediary/consultant, providing services such as business valuation, preparation of sales materials, introduction of parties, negotiation support, and due diligence assistance, as outlined in a separate, specific Service Agreement.
Client Representation and Warranties
The client warrants that all information provided to Riza Tech (especially financial, legal, and operational data) is accurate, truthful, and complete to the best of their knowledge.
Payment and Fees
Fees consist of a retainer, expenses, and/or a success fee (commission) calculated as a percentage of the final transaction value, all clearly specified in the signed Service Agreement. Fees are non-negotiable once the agreement is signed.
Confidentiality Obligations
Both parties agree to maintain strict confidentiality regarding proprietary business information, prospective buyers/sellers identities, and the terms of any potential transaction, subject to the terms of any signed NDA.
Intellectual Property (IP) Ownership
Riza Tech does not claim ownership of the IP of the business being sold or acquired. However, all preparatory materials, reports, and documentation created by Riza Tech during the engagement remain the property of Riza Tech until full payment is received.
Limitation of Liability
Riza Tech’s liability for any claim arising from our services is strictly limited to the total amount of fees paid by the client for the specific service from which the liability arose. We are not liable for business decisions made by the client.
Termination
Either party may terminate the Service Agreement with written notice, subject to the terms outlined in the agreement regarding notice period and payment for services rendered up to the date of termination.
Indemnification
The client agrees to indemnify and hold Riza Tech harmless against any and all claims, damages, liabilities, and expenses (including legal fees) arising from the client’s breach of these terms, misrepresentation, or any litigation resulting from the transaction.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by, and construed in accordance with, the laws of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Karachi.
Force Majeure
Riza Tech shall not be deemed in default of its obligations if performance is delayed or prevented by external events beyond its reasonable control, including but not limited to, acts of God, governmental acts, war, or natural disasters.
No Guarantee of Success
Riza Tech provides professional advisory services but offers no explicit or implied guarantee that a successful sale, acquisition, or specific valuation will be achieved.
